Terms of Service
Last updated: 14 October 2026
These Terms of Service (“Terms”) govern your use of VIZO, the SERP tracking and SEO analytics platform available at vizo.tech and its subdomains, including the web application, any API and related services (the “Service”). The Service is provided by Systemorph Cyprus LTD, a company incorporated in the Republic of Cyprus under registration number HE432591, with its registered office at Patriarchou Grigoriou, 32, 1016, Nicosia, Cyprus (“VIZO”, “we”, “us”, or “our”).
By creating an account, logging in or paying for a subscription, you (“Customer”, “you”) agree to these Terms. If you accept on behalf of a company or agency, you confirm you are authorised to bind it, and “you” means that company.
1. What VIZO Does
1.1. VIZO is a software-as-a-service tool for SEO specialists, in-house teams and agencies. It lets you:
- create Projects with a set of keywords, a country, language, device (desktop/mobile) and number of SERP pages, and run them on demand or on a daily schedule;
- add Tracking domains (manually or by CSV upload) and group them with tags;
- view SERP snapshots (the saved state of search results at the time of a run), run logs, optional keyword metrics and Project SERP analytics, which compares runs and shows gains, drops, new entries and lost positions;
- submit URLs to URL Indexing to request faster discovery by search engines;
- work together in a Team and send us feedback from inside the app.
1.2. No guarantees. Search results, positions, keyword metrics and other analytics are estimates and may differ from what you or your clients see. Runs are usually completed within minutes but may sometimes take longer; see Section 3.4 on credits for failed runs. URL Indexing does not guarantee that a search engine will crawl, index or rank any page. VIZO does not guarantee rankings, traffic, indexing or revenue.
1.3. Consumers. If you use VIZO as a consumer, you keep the rights your local consumer law gives you.
2. Accounts, Login and Teams
2.1. Login. You are responsible for keeping your login details secure, including access to your email and any connected accounts such as Google, and for all activity under your VIZO account.
2.2. Teams. Each account belongs to one or more Teams. The Team owner controls the subscription, billing, seats and Team data, and can add or remove members. If you are invited to someone else's Team, that Team's data belongs to the Team owner.
2.3. Seats. Each plan includes the number of seats shown on the pricing page. Some plans allow you to buy extra seats. A seat is for one named person and may not be shared. You may reassign a seat when a member leaves.
2.4. Eligibility. You must be at least 18 and give accurate registration details.
3. Plans and Credits
3.1. Credits. Usage is measured in credits, shown in the app as XAC. Actions that request new data or processing, such as running a Project, checking keyword positions, collecting a new SERP snapshot or submitting URLs for indexing, cost credits. Viewing already saved Projects, SERP snapshots, results and run history does not cost credits. The current cost per action is shown in the app before you run it. We may change credit costs with at least 14 days' notice.
3.2. Scheduled runs. If you enable daily runs for a Project, credits are charged automatically each time the run happens. If your balance is too low, scheduled runs are paused or skipped until you have enough credits. You can switch daily runs off at any time.
3.3. Plans. Each plan includes a monthly credit quota and seats, as shown on the pricing page. The quota is added when each billing period starts and expires at the end of that billing period. Unused plan quota does not roll over. An upgrade does not extend the expiry date of any previously allocated monthly quota (see Section 4.4).
3.4. Top-ups. You can buy extra credit packages (“Top-ups”) only while you have an active paid subscription. Each Top-up package is valid for 12 months from its purchase date; any unused credits from that package expire at the end of that period. Changing or cancelling your subscription does not change that expiry date. After your subscription ends, you may continue to use any remaining unexpired Top-up credits while your account remains open, but you cannot buy new Top-ups without an active paid subscription. Monthly plan quota is always used first; Top-up credits are used only when all monthly plan quota is used up. If you have monthly quota from more than one billing period (for example, after an upgrade), the quota that expires soonest is used first. Likewise, if you have several Top-up packages, credits from the package that expires soonest are used first. If a run fails completely because of an error on our side, we will return the credits spent on it.
3.5. Insufficient balance. If your available credit balance is lower than the cost of an action, that action will not start. You can still view your saved Projects, SERP snapshots, results and run history without spending credits, including when your balance is zero.
3.6. No cash value. Credits are prepaid units for using the Service only and are shared by the members of your Team. They cannot be sold, transferred outside your Team, exchanged for money or refunded, except as stated in the Refund & Cancellation Policy. Credits are not money, electronic money or a gift card.
4. Payment
4.1. Prices and taxes. Prices are in euros (EUR) for customers in the EU and in US dollars (USD) for customers outside the EU, as shown on the pricing page. For consumers in the EU, prices include VAT. For business customers, prices exclude VAT, which is added at checkout or reverse-charged where applicable. Other taxes may apply depending on your location. The final amount is shown before you pay.
4.2. Billing. Plans are billed monthly in advance and renew automatically until cancelled.
4.3. Payments are processed by third-party payment service providers. We do not store full payment card details. You can manage your payment methods, invoices, and subscription through the billing section of the app.
4.4. Upgrades and downgrades. Upgrades take effect immediately: the full price of the new plan is charged that day, its full monthly credit quota is added, and your billing date moves to the upgrade date. No proration credit is given for the old plan. Any unused monthly quota from the previous plan remains available only until its original expiry date (the billing date that applied before the upgrade); it does not acquire the new plan's expiry date. The new plan's quota expires at the end of the new billing period. Top-up credits retain their existing validity under Section 3.4. Downgrades take effect at the next billing date.
4.5. Failed payments. If a renewal payment fails, the new period's quota is not added until payment succeeds. Your account, Projects, history and remaining credits stay available. We will retry the charge. We do not close accounts because of a failed payment.
4.6. Refunds and cancellation follow the Refund & Cancellation Policy, which is part of these Terms.
5. Your Responsibilities and Acceptable Use
5.1. Your websites. You are solely responsible for the websites, domains and URLs you track or submit, and for making sure that your business and your clients' businesses are lawful and hold any licences required where they operate and where they target users. VIZO provides SEO analytics only. It does not provide, promote or endorse the products or services offered on tracked websites.
5.2. URL Indexing. You may submit only URLs that you own or are authorised to promote. You must not submit URLs that host unlawful content, malware, phishing, content that infringes third-party rights, or child sexual abuse material. We may block URLs or domains and report unlawful content to the authorities.
5.3. You must not:
a) resell the Service or its data as a standalone data product. Agencies may share reports, exports and insights with their own clients;
b) scrape, bulk-extract or copy data from the Service beyond the normal export features, or use it to build a competing product;
c) share logins or seats, create multiple accounts or otherwise get around seat, credit or rate limits;
d) reverse engineer, overload, test the security of or disrupt the Service without our written permission;
e) use the Service in breach of law, sanctions, or search engine and data provider rules we tell you about;
f) upload malicious code or unlawful content.
5.4. We may suspend access immediately if we reasonably believe you have broken this Section 5, and we will explain why unless the law prevents it.
6. Your Data
6.1. “Customer Data” means data you add to the Service: Projects, keywords, domains, URLs, tags, settings, notes and feedback, plus the results generated for your Projects. As between us, you own your Customer Data. You grant us the right to host and process it to provide, secure and support the Service.
6.2. We may use aggregated, de-identified data (for example, general SERP volatility trends) to run and improve the Service, as long as it does not identify you, your clients or your Projects.
6.3. We keep your Project keywords, domains and results confidential and do not share them with other customers. We share them with data and indexing providers only as needed to run your requests.
6.4. We process personal data in accordance with our Privacy Policy and applicable data protection laws.
7. Intellectual Property
The Service, software, interface, methodology and metrics and scoring models belong to VIZO or its licensors. During your subscription, and after it ends to the extent needed to use your remaining unexpired Top-up credits or view your saved data while your account remains open, we give you a limited, non-exclusive, non-transferable right to use the Service for your business. You may use reports and exports for yourself and your clients. We may use your feedback freely without obligation to you.
8. Third-Party Providers
The Service uses third-party providers for functions including data analysis, search monitoring, indexing, hosting, payment processing, and email delivery.
The availability and functionality of these services may change. We may replace providers or modify affected features to maintain or adapt the Service.
To the extent permitted by applicable law, we are not liable for interruptions, inaccuracies, or other issues caused by third-party services beyond our reasonable control. If a change materially reduces the functionality of a paid feature, Section 9.2 applies.
9. Service Availability and Changes
9.1. We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation unless expressly agreed in a separate Service Level Agreement (SLA). Temporary interruptions may occur due to maintenance, updates, technical issues, or disruptions affecting third-party providers.
9.2. We may add, modify, or discontinue features of the Service. If a change materially reduces the core functionality included in your paid plan, we will notify you in advance. You may cancel the affected subscription and receive a pro-rata refund of prepaid subscription fees covering the unused period after cancellation.
10. Cancellation and Termination
10.1. You can cancel your subscription at any time through the billing section of the app. Cancellation takes effect at the end of the current billing period, and your plan quota remains available until then.
10.2. We may suspend or terminate your account for a material breach of these Terms or where required by law. A failed payment alone is not a reason to close your account (see Section 4.5).
10.3. Once your account is closed, access to the Service and account data ends. We delete account data after 30 days, except where retention is required by applicable law. We do not provide a post-closure export service, except where required by applicable law. This does not affect your rights regarding personal data under our Privacy Policy and applicable law. Unused Top-up credits expire upon account closure. If we close your account without cause, we will refund any unused paid Top-up credits.
11. Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY OR COMPLETENESS OF DATA.
12. Limitation of Liability
12.1. To the extent the law allows, neither party is liable for indirect or consequential losses, or for loss of profits, revenue, rankings, traffic, indexing, search engine penalties or data.
12.2. Limitation of Liability. With the exception of any indemnification obligations stated herein, in no event will either party and its respective affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages or loss of profits, revenue, data or business opportunities arising out of or related to this agreement, whether an action is in contract or tort and regardless of the theory of liability whatsoever arising from or related to either this Agreement or use of the Services or the Website. Our maximum aggregate liability to you for any damages arising from or related to this Agreement is limited to the greater of
(a) fifty dollars (US $50) or
(b) the aggregate amount you have paid to us under this Agreement within the three (3) month period preceding the date that applicable cause of action arises.
NOTWITHSTANDING THE FOREGOING, VIZO’S MAXIMUM LIABILITY WITH RESPECT TO UNPAID SERVICES, BETA VERSIONS, AND SDKS IS FIFTY DOLLARS (US $50). You understand and agree that if you do not agree to this limitation of liability, we would not provide the Services to you. Any cause of action you may have hereunder or with respect to your use of the Site or our Services must be commenced within one (1) year after the claim or cause of action first arises. The limitation of liability set forth in this paragraph shall apply to the fullest extent permitted by law.
12.3. WARRANTY DISCLAIMER REGARDING THIRD-PARTY SERVICES AND LINKED WEBSITES. THIRD-PARTY SERVICES AND LINKED WEBSITES ARE NOT UNDER VIZO’S CONTROL, AND, TO THE FULLEST EXTENT PERMITTED BY LAW, (A) VIZO MAKES NO WARRANTY REGARDING THE CONTENT, OPERATION, OR FUNCTIONALITY OF SUCH THIRD-PARTY SERVICES OR LINKED WEBSITES, (B) VIZO IS NOT RESPONSIBLE FOR ANY THIRD-PARTY SERVICE’S USE OF CUSTOMER’S EXPORTED INFORMATION, (C) VIZO DOES NOT GUARANTEE THAT THE SERVICES WILL INTEROPERATE WITH ANY PARTICULAR THIRD-PARTY SERVICE, AND (D) VIZO’S SUPPORT OBLIGATIONS, AS APPLICABLE, SHALL NOT EXTEND TO ANY THIRD-PARTY SERVICES. VIZO AND ITS AFFILIATES DISCLAIM ANY LIABILITY, REPRESENTATIONS, OR WARRANTIES WITH RESPECT TO ANY THIRD-PARTY SERVICES AND LINKED WEBSITES THAT YOU USE AND FOR ANY CLAIM ARISING OUT OF VIZO’S PROVISION OF YOUR USER CONTENT TO THIRD-PARTY SERVICES AS AUTHORIZED HEREIN.
13. Indemnity
You will indemnify us against third-party claims arising from the websites or URLs you track or submit, your breach of Section 5, or your unlawful use of the Service.
14. Changes to These Terms
We may update these Terms. We will tell you about material changes by email or in the app at least 14 days before they take effect. If you do not agree, you can cancel before then. If you keep using the Service after that, you accept the new Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Cyprus. The courts of Nicosia, Cyprus, have exclusive jurisdiction, unless mandatory law provides otherwise.
16. General
These Terms, together with our Privacy Policy, Refund & Cancellation Policy, Cookie Policy, and any applicable order form, constitute the entire agreement between you and us regarding the Service.
If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to a successor entity, provided that the transfer does not reduce your rights under these Terms.
Neither party will be liable for delays or failures to perform its obligations to the extent caused by circumstances beyond its reasonable control.
